Company formation in Austria, online

An Austrian GmbH and a FlexCo are both limited liability companies, and both need a notarial deed (Notariatsakt) by an Austrian notary to be formed. On notarity, an Austrian partner notary carries out that deed online, notarises the signatures and files the company with the commercial register (Firmenbuch). The GmbH is the classic form; the FlexCo is newer and more flexible, often chosen by startups with investors.

Germany

Founding a German GmbH or UG?

That needs a German notary and cannot be done via notarity. What you can do online is have a power of attorney notarised, with an apostille, so a representative can found the company for you in Germany.

What the partner notary needs for an offer

  • The company

GmbH or FlexCo, the intended company name and the registered seat. An Austrian address is required for the register.

  • The people

The shareholders and the managing directors.

  • Your documents, if you have them

Drafts from a law firm, or the datasheet (Datenerhebungsblatt) so the partner notary can draft them.

How it works

Your company formation, step by step

  1. Send your request

Book via notarity, choose Austria as the destination country and select GmbH formation or FlexCo formation.

  2. Upload your details

Upload the datasheet during booking or send it afterwards, or upload the documents a law firm has prepared. The more complete your information, the faster the offer.

  3. Receive an offer

Your request goes to the partner notary network, and an Austrian partner notary sends you a personalised offer that shows all costs.

  4. Accept the offer

Accepting the offer confirms the appointment. Everyone taking part receives the invitation by email.

  5. Online notary appointment

The notarial deed and all required notarisations take place by video call.

  6. Pay in the share capital

The founders pay the share capital into a formation bank account. Depending on the case, a trust account with the notary may be possible instead.

  7. Entry in the company register

The partner notary files the company with the commercial register (Firmenbuch).

Frequently asked questions

To the FAQ

Can I found an Austrian GmbH completely online via notarity?

Yes. A GmbH formation requires a notarial deed (Notariatsakt) by an Austrian notary, and an Austrian partner notary on notarity can carry it out online.

Can I found a FlexCo completely online via notarity?

Yes. An Austrian partner notary on notarity handles the notarial deed and the required notarisations for a FlexCo online.

What is the difference between a GmbH and a FlexCo?

Both are Austrian limited liability companies that need a notarial deed to be formed, and both have a minimum share capital of EUR 10,000. The GmbH is the classic, most common form. The FlexCo is newer and designed for more flexibility, which is often relevant for startups and investor structures. If you are unsure which to choose, partner notaries can advise you in a free consultation, or ask your lawyer.

Do I need an Austrian notary, or can an international notary do it?

For an Austrian GmbH, the notarisation must be an Austrian notarial deed by an Austrian notary. On notarity, an Austrian partner notary carries it out.

Do I need a lawyer to draft the formation documents?

No, both ways work. If a law firm has prepared the documents, upload them to your booking. If they still need to be drafted, the partner notary prepares them from the information you provide.

Can the founders file the registration themselves?

Not for a GmbH. Its filing with the commercial register must be made by a notary or a lawyer. The partner notary takes care of it.

Do I need to pay in the share capital before the company is registered?

Typically, yes. A formation bank account is opened, the share capital is paid in, and the proof of payment is used for the registration. How this works in practice depends on the bank and the setup; the partner notary explains it during the formation.

How long does the formation take?

Expect at least 7 working days for processing. It depends on how quickly you provide complete information and documents, and on the partner notary's preparation time. The entry in the company register itself usually takes one to ten working days, depending on the competent court.

Do I need an Austrian address?

Yes. An Austrian registered address is required for the entry in the commercial register. If you do not have one, notarity can arrange a virtual office address through a partner, at additional cost.

Why is there no fixed price?

In Austria, the notary assesses each case and sets the fee. Before the appointment you receive an offer that includes all costs (notary fee, notarity service fee and VAT where applicable), and you can accept or decline it.

What happens after the entry in the company register?

Register your trade, which can be done online, and apply for a tax number at the responsible tax office.
