The liquidation of a limited liability company usually takes place in four steps. Start liquidating your GmbH online right now via notarity.
The first step is to dissolve the GmbH. In order to legally record the resolution to dissolve the company and the start of the liquidation, minutes of the general meeting must be notarised.
The dissolution of the GmbH must be published and the creditors are requested to come forward. The publication must be made in the edict file. This can also be done by our partner notaries.
Known creditors must be informed directly. This is followed by the settlement of creditors' claims. The remaining assets may be distributed to the shareholders at the earliest three months after the announcement.
Upon completion of the liquidation, the liquidator must prepare a final balance sheet. The shareholders must discharge the liquidator(s) by a notarised shareholders' resolution.
The liquidator must submit a certified application to request the deletion of the GmbH from the commercial register.
The application must be accompanied by a tax clearance certificate from the tax office and the resolution on the discharge of the liquidators.
The final termination takes place when the GmbH no longer has any assets and its deletion is entered in the commercial register.

You book an online appointment with one of our partner notaries online. Appointments are available Mon - Fri flexibly & at short notice between 7am - 9pm Central European Time (CET).
Register on app.notarity.com. The first step is to verify your identity. For this, you need a valid passport, a mobile phone and about 15min of time.
You will meet a partner notary at the booked time. The appointment takes place on app.notarity.com in a video call.
In the appointment, you sign the documents with a qualified electronic signature. The signature will be issued to you during the onboarding process.
After your online appointment, you can download the notarised documents. The digitally signed PDF documents are always the original documents. On request, our partner notary's offices can also send you a physical copy by post.s
